E&H Corporate Services helps US businesses open a Singapore subsidiary, hire their first staff and relocate key people, and helps Americans move to Singapore themselves. We handle incorporation, banking, work passes, payroll, tax and compliance, so you deal with one team instead of five.

Most US clients need both: a Singapore entity and the passes that let their people work through it. E&H runs the corporate and immigration sides together, so the company is structured to support the visas you need.

Subsidiary, branch or representative office, chosen with your US tax adviser's needs in mind.
Name reservation, constitution, filing and statutory registers. Usually done in 1–3 business days.
Registered office address and a locally resident director to meet the Companies Act.
Bank introduction and KYC pack preparation, so the account opens without back-and-forth.
Employment Pass, ONE Pass, EntrePass and Dependant's Pass applications, assessed before submission.
Employment contracts, monthly payroll, CPF contributions for local staff and MOM obligations.
Bookkeeping, GST registration when required, estimated chargeable income and annual tax returns.
Company secretary, AGM or written resolutions, annual return and filing reminders.
A video call to agree the vehicle, shareholding, directors and who needs a pass.
We prepare the documents and file with ACRA. Your UEN and business profile follow on registration.
We introduce a suitable bank and prepare the onboarding pack. Timing depends on the bank and your group structure.
Job advertising where required, then Employment Pass applications to MOM, then payroll set-up for day one.
| Option | What it is | Liability | Singapore tax | Best for |
|---|---|---|---|---|
| Private limited subsidiary | A separate Singapore company owned by the US parent | Limited to the subsidiary | Partial tax exemption; start-up exemption only if an individual holds 10%+ | Most US companies that will trade or hire in Singapore |
| Branch office | An extension of the US company registered with ACRA | The US parent is directly liable | Not eligible for the start-up tax exemption | Groups that want the Singapore results inside the US entity |
| Representative office | A temporary presence for market research and liaison | The US parent | Cannot earn revenue in Singapore | Testing the market before committing (maximum 3 years) |
Government fees, resident director and registered address services are quoted separately. You receive one fixed-fee proposal covering everything you need before any work starts.
No comprehensive US–Singapore tax treaty. Plan US reporting for the Singapore entity and withholding on cross-border payments with your US CPA from day one.
A resident director is mandatory. Every Singapore company needs at least one director who is ordinarily resident in Singapore. E&H provides one until your own person relocates.
Job advertising comes before most Employment Passes. Employers generally advertise on MyCareersFuture for at least 14 days first, unless the role pays S$22,500 a month or more.
Banks take longer than ACRA. Registration takes days; bank onboarding takes weeks. A clean KYC pack on the US parent shortens it.
