Business Valuation for Singapore SMEs, Start-ups and Holding Companies

A company valuation estimates what the shares or the whole business of a company are worth on a specific date and for a specific purpose. In Singapore, owners usually need one when shares change hands, when investors come in, when a shareholder leaves, or when a business is being sold or restructured.

E&H Corporate Services values private Singapore companies using the three recognised approaches: income (discounted cash flow), market (comparable companies and transactions) and asset (adjusted net asset value). We cross-check the results and explain which one carries the most weight for your business and why.

Because we already handle incorporation, accounting, tax and corporate secretarial work, the valuation connects to everything that follows it. That includes the share transfer forms, the IRAS stamp duty computation, the board and shareholder resolutions, and the ACRA filings.

Looking for a Business Valuer or Valuation Firm in Singapore?

Whether you are searching for company valuation, business valuation services, a share valuation for a transfer, a start-up valuation before a funding round, or an SME valuation for a buyout, the first question is the same: what will the number be used for? The purpose decides the standard of value, the method and the level of report you need.

Our valuation service starts with that scoping step. We confirm the purpose, the valuation date and who will rely on the report, whether that is you, an investor, a buyer, an auditor or IRAS. We then quote a fixed fee before any work begins.

Why the purpose of a valuation changes the number

The same company can carry different values for different purposes. For example, IRAS computes stamp duty on a private share transfer at 0.2% of the higher of the price paid and the shares' net asset value. An investor pricing a funding round, on the other hand, will focus on future cash flows and comparable deals.

An informal 'three times profit' estimate can undersell a growing business or overstate an asset-light one. A structured valuation shows the range, the drivers behind it and the assumptions a buyer or investor is likely to challenge. You can negotiate from evidence rather than a guess.

FAQ

Frequently asked questions

How much does a company valuation cost in Singapore?
The fee depends mostly on the purpose and complexity rather than company size. Market fees in Singapore commonly range from around S$3,000 for a simple desktop valuation of a small SME to S$15,000 or more for complex, multi-entity or dispute-ready reports. We quote a fixed fee after a free scoping call.
How long does a business valuation take?
A typical SME valuation takes about 2 to 4 weeks from the time we receive complete financial information. Simple share-transfer valuations can be faster, while group structures, start-ups without profit history or reports for disputes take longer.
Which valuation method is best for a Singapore private company?
There is no single best method. Profitable, stable businesses are usually valued on discounted cash flow and earnings multiples. Asset-heavy and property or investment holding companies lean on adjusted net asset value. Early-stage start-ups often rely on recent funding rounds and market benchmarks. We apply more than one approach and explain how they are weighted.
Do I need a valuation to transfer shares in a Singapore company?
ACRA does not require a valuation report to record a share transfer. However, IRAS charges stamp duty at 0.2% of the higher of the purchase price and the net asset value of the shares, so the NAV must be computed from accounts dated within 24 months of the transfer. If the company owns property, the property's market value replaces its book value. A proper valuation also protects both parties when the price is below or above NAV.
What documents do you need to value my company?
Usually the last two to three years of financial statements, current management accounts, a forecast or budget, the shareholder register or cap table, and key contracts, loans and leases. For start-ups we also look at funding history, term sheets and key metrics such as revenue growth and customer retention.
What is the difference between a company valuation and a business valuation?
In everyday use the terms mean the same thing: estimating what a business or its shares are worth. Technically, a business valuation can refer to the enterprise as a whole, while a company or share valuation focuses on the equity held by shareholders after debt. We confirm which one you need during scoping.
Is your valuation report accepted by banks, courts or auditors?
Requirements differ by recipient. Some banks, courts, auditors or listing processes require a report signed by an independent accredited valuer, for example a Chartered Valuer and Appraiser (CVA). We confirm the recipient's requirements at scoping and tell you upfront what level of report you need before you commit.
